I attended Jesuit schools where principles of service and working toward more just communities were emphasized. Through my work as an attorney and counselor I serve clients that are community anchors. They are committed to equitable health care, improved child and adult care services, educational opportunities and quality affordable housing, as well as other charitable causes. I serve Miner Barnhill &Galland, P.C. as President of the Board of Directors.

I began my legal career in public service, serving as an Assistant Corporation Counsel in the City of Chicago Office of Corporation Counsel. As an Assistant Corporation Counsel I handled civil litigation in the federal and state courts and was lead attorney in several bench and jury trials. I later served as liaison with the Office of Legislative Affairs in Mayor Harold Washington’s Administration, going to Springfield, Illinois when the State legislature was in session and spending considerable time in and around the City of Chicago City Council, before finishing my service in the Real Estate and Land Use Division. Presently, I serve the goals and interests of approximately one dozen community institutions, including:

  • safety net health centers with a combined 17 sites throughout Chicagoland, as well as, an L3C that supports 35 safety net health centers throughout the United States;
  • national developers, owners, and operators of affordable housing properties;
  • an established African-American church based in the Eastern United States, and various faith institutions based and operating in Chicago;
  • legacy community housing development corporations on each of Chicago’s North, West, and South sides;
  • a Chicago-based labor union;
  • social service providers engaged in daycare, elder care, and other supportive services; and
  • a variety of other not for profit corporations engaged in charitable activities, including a foundation, charter school, and special needs academy.

The following is a summary of the areas in which I have concentrated my practice.

  • General Not-for-Profit Corporation Representation

    I have extensive experience working with various not-for-profit corporations. My work includes corporate governance issues, including moderating board interactions and management disputes; contract review; personnel matters; real estate activities involving acquisition and disposition of sites and leasing of space; government grants; and general legal counseling.

    I hold a Martindale-Hubbell rating of “AV-Preeminent” in the area of Not-for-Profit Organizations, and have been selected by my peers as a Leading Lawyer in 2023.

  • Federally Qualified Health Centers (FQHCs)

    I work with safety net health centers that provide medical care and social services to underserved populations. My role in these representations extends to general legal representation of health centers, including close consultation with senior management and boards of directors. I am frequently involved in review of contracts, personnel matters, and corporate governance issues. While I have tried to verdict several state court cases, the firm’s 50 plus years’ experience in complex commercial litigation provides an important benefit to the clients I am privileged to serve, including matters that involve subpoenas, personnel matters, and general litigation. I also assist a consortium of Federally Qualified Health Centers that promotes the use and effectiveness of electronic health record technology and associated data warehousing. Recent initiatives include exploration of a clinically integrated network, designed for varying degrees of risk on the part of participating FQHCs, and exploration of an initiative designed to provide electronic health record alternatives to FQHCs. Most recently, I have represented several FQHCs in an ambitious effort to make more available to FQHCs Chicago’s Southside medical specialists.

  • Housing and Economic Development

    I have over 35 years’ experience with affordable housing transactions, including layered real estate financings that utilize the federal Low Income Housing Tax Credit, the New Market Tax Credit, and the Illinois Affordable Housing Tax Credit; purchase and sale of partnership interests in limited partnerships; entity formation; and loan restructurings. I have often represented for-profit developers and businesses, but have specific experience representing not-for-profit corporations in the negotiation of partnership and operating agreements, sometimes involving profit-motivated entities, as well as assisting not-for-profits with asset acquisitions, real estate development, workouts and asset dispositions — especially in connection with expiring tax credit syndications. Client representations include both local and national affordable housing entities.
